BY SIGNING UP WITH THE SUITCASE DESIGNS AFFILIATE PROGRAM (“Program”), OPERATED BY MOONSHOT ENDEAVORS LIMITED DBA SUITCASE DESIGNS (“Suitcase Designs”, “we”, “us”, and “our”), YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS (“Agreement”). YOU HEREBY AGREE THAT YOU HAVE READ AND UNDERSTOOD ALL THE CLAUSES OF THIS AGREEMENT AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS HEREIN. The terms of the Agreement form the entire contract between the parties in relation to its subject matter. YOU (“You”, “Affiliate”, or “Affiliates”) AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU, AND THIS AGREEMENT IS ENFORCEABLE AGAINST YOU.
This is a legal agreement between you (either an individual or a legal entity) and Moonshot Endeavors Limited dba Suitcase Designs, and its authorized service provider(s), distributor(s), promoter(s), and reseller(s). Suitcase Designs uses Rewardful (“Rewardful”) as its affiliate tracking and payout platform. This Agreement outlines the rules and regulations of the Program.
By clicking the button “Sign up” during registration on the Rewardful platform, you represent that you are over 18 years old and agree to the terms of our Privacy and Cookies Policy and this Agreement. If you are acting on behalf of a company when accepting this Agreement and the Privacy and Cookies Policy, you hereby declare you are authorized to perform such legal actions on behalf of that company (herein the term “you” shall mean the relevant company).
Suitcase Designs reserves the right to approve or reject any Program application at its sole and absolute discretion. Acceptance of your application to the Program is at Suitcase Designs’ sole discretion, and neither Suitcase Designs nor its authorized representatives shall hold any liability to you in the event your application is rejected.
You must provide your legal full name, a valid email address, and any additional information requested in order to complete the signup process.
You are responsible for maintaining the security of your account and password. Suitcase Designs cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
You are responsible for all content posted and activity that occurs under your account.
Each legal entity may control no more than one Program account unless expressly authorized.
You may not use the Program for any illegal or unauthorized purpose.
You may not use the Program to gain a discount on Suitcase Designs’ products or services for your own use or for any affiliate or commonly owned company. All sales must be arm’s length.
Paid Ads Policy:
You may not use your affiliate link in any paid media, including search engine ads, social ads, or any advertising format that may compete with Suitcase Designs’ marketing.
You may not bid on keywords such as Suitcase Designs, suitcase designs, SuitcaseDesigns.com, Moonshot Endeavors, Moonshot, or any misspellings.
You may not use typosquatting, doorway pages, traffic redirects, interstitials, Parasiteware, Parasitic Marketing, Shopping Assistance Applications, Toolbars, or deceptive pop-ups or pop-unders.
You may review Suitcase Designs on blogs or YouTube, place banners, and share links with your audience if compliant with all third-party policies.
Abuse or violation of these terms constitutes material breach and will result in a ban and forfeiture of commissions.
Compliance with Laws
You must comply with all applicable laws, including anti-spam laws such as CAN-SPAM and the e-Privacy Directive.
A commission becomes due when a customer purchases a Suitcase Designs website package using your unique affiliate link on a bona fide, arm's-length basis, and does not cancel within 30 days of purchase.
For standard affiliates, commissions are one-time only and apply to the initial purchase price. No commission is earned on renewals, maintenance plans, or any subsequent payments made by the referred customer. Authorized partner affiliates operating under a separate written agreement with Suitcase Designs may be entitled to different commission structures, including recurring commissions on renewals, as specified in their individual agreement.
Commission rate is 10% of the gross purchase price actually paid by the referred customer. For customers purchasing at public pricing, this is 10% of the public rate. For customers purchasing through an authorized partner program at a discounted rate, commission is calculated on the discounted price actually charged.
Commissions are approved following the 30-day waiting period from the date of purchase and are paid on the first Monday of the month after approval. For example, a purchase made on June 5 would clear the 30-day waiting period on July 5 and be paid on the first Monday of August.
Suitcase Designs may withhold payments during investigations into suspected fraud or policy violations.
Refunds, if applicable, eliminate commission entitlement. If a commission has already been paid and a refund is subsequently issued, the amount will be deducted from future payouts or must be repaid within 30 days.
Self-referrals are not eligible. Any attempt to use your affiliate link to discount your own purchase or that of a related party will result in immediate termination and forfeiture of all commissions.
Taxes on commissions are solely your responsibility.
Suitcase Designs reserves the right to terminate abandoned accounts with no activity for six months, forfeiting any commissions below the minimum payout threshold.
You are fully responsible for operating and maintaining your site and ensuring all materials are accurate, lawful, non-infringing, properly disclosed for privacy, and compliant with all hosting, advertising, and third-party agreements.
Your affiliate account may be suspended or terminated for:
Inappropriate advertising
Spamming
Illegal content
FTC violations
Misuse of Suitcase Designs intellectual property
Manipulative customer influence
Fraudulent transactions
Repeated self-referrals
Any method Suitcase Designs deems harmful
Suitcase Designs may terminate any affiliate account at any time, at its sole discretion, without the obligation to disclose the reason.
Termination results in forfeiture of commissions earned through prohibited or questionable methods.
Suitcase Designs may audit your books and records at reasonable times. Misrepresentation requires immediate repayment of overpaid commissions with interest. If discrepancies exceed 3%, you must also cover audit costs, including attorney fees.
You may not misrepresent your relationship with Suitcase Designs or imply endorsement, partnership, or sponsorship.
Upon approval, your unique affiliate code will be provided through Rewardful. You are granted a limited, non-exclusive, non-transferable, revocable license to use Suitcase Designs promotional assets during the term of this Agreement.
Customers who purchase under this Program are Suitcase Designs customers for all purposes, subject to all Suitcase Designs policies.
You may not make false, misleading, or disparaging statements about Suitcase Designs or its personnel. Breach may result in termination and withholding of unpaid commissions.
You are an independent contractor. No partnership, joint venture, agency, franchise, sales representative, or employment relationship is created. You may not make offers or representations on behalf of Suitcase Designs.
Suitcase Designs uses Rewardful for affiliate tracking and is not liable for indirect damages, tracking failures, database loss, or consequential damages. Aggregate liability is limited to commissions paid or payable in the six months preceding any claim.
The Agreement is effective upon acceptance and ends when your affiliate account is terminated. Suitcase Designs may modify these terms at any time. Continued participation constitutes acceptance.
By completing the signup process, you agree to all terms and conditions electronically.
You acknowledge that you have independently evaluated the Program and are not relying on representations outside this Agreement.
Disputes shall first be referred to Suitcase Designs senior management and senior affiliate representatives. If not resolved within 10 business days, disputes may be submitted to confidential arbitration under rules of the American Arbitration Association or similar body in Colorado. For intellectual property violations, Suitcase Designs may seek injunctive relief in Colorado courts, to which you consent to jurisdiction and venue.
This Agreement is governed by the laws of the State of Colorado, USA, without regard to conflict-of-law rules. You may not assign this Agreement without written consent. This Agreement supersedes all prior agreements. Suitcase Designs may update these terms without notice if changes do not materially affect benefits. Material changes will be provided with 30-days notice in the affiliate dashboard. If you disagree with material changes, you may terminate within the notice period. Only unpaid commissions above the minimum payout threshold will be paid if you are not in breach. Failure to terminate constitutes acceptance of amendments.
